Application of Terms: These Terms and Conditions (“Terms”) apply to all services provided by Studio Rossi Ltd (“Agency”) to the client (“Client”). By instructing the Agency to proceed with services, booking work, or making any payment, the Client confirms acceptance of these Terms.

  1. Minimum Commitment: The Client agrees to reserve certain days (the “Commitment Period”). This time is reserved exclusively for the Client. The “Commitment Period” is billable in full.

  2. Estimates: All estimates provided are based on the information available at the time of quoting and are subject to change if the scope of work is altered or if unforeseen circumstances arise. Any additional work outside the scope of this estimate, including, but not limited to, extra revisions, changes to the brief, or an extended project duration, may incur additional charges, which will be discussed and approved before commencement.

  3. Additional charges: Extra revisions, changes to the brief, or extended project duration may incur additional fees, which will always be discussed and approved before any further work commences.

  4. Timeframes: Timeframes are provided as a guide and may be adjusted due to complexity, client feedback delays, or third-party dependencies. I will always strive to meet agreed timelines and will communicate promptly if delays are anticipated.

  5. Third-party costs: Hosting, domain, and plugin licence costs are not included and remain the client's responsibility. Print, postage and all other third-party fees are excluded from this quote unless explicitly stated.

  6. Notice of Changes: Any reduction to the agreed number of regular weekly days or cancellation of booked work requires a minimum of 14 calendar days’ written notice. Where the Client books work within 14 calendar days of the scheduled start date (“short-notice booking”) and subsequently cancels or reduces that booking, the originally agreed number of days will remain billable in full.

  7. Flexibility: The Agency will make reasonable efforts to accommodate requests for changes to the schedule where possible, but cannot guarantee availability outside the agreed commitment.

  8. Short-Notice Changes: Where less than 14 days’ notice is provided or possible due to a last-minute booking:

    • The originally agreed number of days will remain billable in full; and

      The Agency reserves the right to invoice for this time as if the work had been carried out.

  9. Cancellation: If the Client cancels the project entirely before the end of the Commitment Period, the Agency reserves the right to invoice for the remaining minimum commitment, unless otherwise agreed in writing.

  10. Ownership & Copyright: All intellectual property rights in the designs remain the property of Studio Rossi Ltd. Upon full payment, the Client is granted a non-exclusive, perpetual licence to use the final agreed design for its intended purpose. Studio Rossi Ltd retains ownership of background materials, source files, and design methodologies, and retains the right to showcase the work in its portfolio and marketing materials. 

  11. Payment Terms:

    • Deposit: 50% deposit is required to commence project work, with the remaining 50% due on completion of each phase.

      Invoicing: The Agency will issue invoices on a bi-weekly basis.

      Payment Due Date: Payment must be made within 7 calendar days of the invoice date.

      Late Payment: Payments not received by the due date will incur:

      Statutory interest at 8% above the Bank of England base rate, accruing daily, and

      A fixed late fee (£40/£70/£100, depending on invoice value) in line with the Late Payment of Commercial Debts (Interest) Act 1998.

      Suspension of Services: The Agency reserves the right to suspend or withhold further work until all outstanding payments are received. Where work is suspended due to late or non-payment, any time or days already reserved for the Client during the Commitment Period will remain billable in full.

  12. Client Responsibilities: The Client agrees to:

    • Provide timely instructions, approvals, and information reasonably required for the Agency to perform the services; and

      Pay invoices in accordance with these Terms and Conditions.

  13. Usage Limits: Designs may not be resold, sublicensed, modified, or repurposed for other uses. The licence does not permit resale, redistribution, or use outside the agreed scope without written consent from Studio Rossi Ltd.

  14. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England & Wales.
